Raising finance from private equity investors and through private placements presents the directors, managers and owners of investee entities with specific and onerous legal challenges.

- the protections and other terms of the investment documentation
- the interaction of such funding with debt finance, and with the financial incentives that are available in certain sectors that can raise state aid concerns
